1. Agreeing to these Terms

By installing the Poppin extension, creating an account, or using poppin.so ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

The Service is provided by Poppin Social, Inc., a Delaware corporation ("Poppin", "we", "us"). These Terms are a binding agreement between you and Poppin.

2. What Poppin is

Poppin is a browser extension. It reads the page you are on, and when the page is about an asset in our catalog, it shows one card with the live price, a way to trade, and the conversation happening on that page. On most pages it shows nothing.

  • The card: live price for the matched asset, Buy, and Sell when you hold it
  • The conversation: public posts and replies tied to the page you are on
  • The side panel: your feed, profile, and wallet
  • The wallet: created with your account and managed for you, so there is nothing to install or connect

We may add, change, pause, or discontinue any part of the Service at any time.

3. Early access and test mode

Poppin is in early access. Some or all trading may run in test mode, where orders are priced, built, and verified but not executed. Features, the asset catalog, limits, and availability can change without notice while we build.

4. Who can use Poppin

You must be at least 18 years old and legally able to enter into this agreement. Trading features are not available everywhere:

  • Sanctions: we do not offer the Service in comprehensively sanctioned jurisdictions, and we run a country-level check to comply
  • Issuer restrictions: some assets are issued by third parties whose terms exclude certain persons, including US persons for some assets
  • Local law: you are responsible for making sure using Poppin is legal where you live

5. Your account and your wallet

You sign in with an email or a supported sign-in provider. Keep your login secure; activity under your account is your responsibility.

Your wallet is custodial: it is created with your account, and Poppin (with its service providers) holds the keys and signs transactions you instruct through the Service. You do not get a seed phrase, and you cannot sign transactions outside the Service with this wallet. Balances shown in the Service reflect the wallet we manage for you.

6. Trading

Trades execute on public blockchain infrastructure using third-party liquidity and routing. Prices move: the price you see when you tap is an estimate, and the executed price can differ. Blockchain transactions are irreversible once executed.

  • Tokenized assets are issued by third parties, under their own terms; a token that tracks a company's stock is not a brokerage account or shareholder relationship with that company
  • Poppin is not a broker, dealer, exchange, or investment adviser, and nothing in the Service is investment advice or a recommendation
  • You can lose money, including your entire balance; trade only what you can afford to lose
  • Fees or spreads may apply and will be shown or published where they do
  • You are responsible for your own taxes

7. Posts and conduct

Posts are public and attached to the page they were written on. Do not use the Service to break the law, harass people, spam, spread malware, manipulate markets, or interfere with the Service. We can remove content and suspend or terminate accounts that do.

8. Publishers

If you put the Poppin card on your own site, additional publisher terms may apply, including how revenue share is calculated and paid. Publisher access is managed through the dashboard; while access is limited, write to info@poppin.so.

9. Your content and our content

You own what you post. You give us a worldwide, royalty-free license to host, display, and distribute your posts as part of running the Service. The Service itself, including the extension, the card, our marks, and our code, belongs to Poppin and its licensors.

10. Third parties

The pages you browse are not ours, and the card appearing on a page does not mean the page's owner endorses Poppin. Issuers, liquidity venues, sign-in providers, and blockchains are third parties with their own terms, and we are not responsible for them.

11. Disclaimers and limits on liability

The Service is provided "as is" and "as available", without warranties of any kind, express or implied. We do not promise the Service will be uninterrupted, error-free, or that a card will appear on any particular page.

To the maximum extent allowed by law, Poppin will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost value of digital assets. Our total liability for any claim is limited to the greater of 100 USD or the amount you paid us in the 12 months before the claim.

12. Ending things

You can stop using Poppin at any time by uninstalling the extension and asking us to close your account at info@poppin.so. We can suspend or terminate access for breach of these Terms or to protect the Service. If your account closes while you hold a balance, we will work with you in good faith on withdrawal, subject to law and to the test-mode status of trading.

13. Changes, law, and disputes

We may update these Terms; if the changes are material we will say so on the site or in the product, and using the Service after that means you accept them. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located in Delaware.
